Terms and Conditions

1. Acceptance of Terms

By registering for, accessing, or using SimShield, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

If you do not agree with any part of these terms, you must not use the Service.

2. Description of Service

SimShield is a B2B security awareness training platform that provides:

• Simulated phishing email campaigns for employee security training
• AI-generated phishing email templates for realistic simulation
• Employee click tracking, behavioral analytics, and risk reporting
• Training landing pages and awareness materials
• Organization and user management tools
• Campaign scheduling, automation, and reporting dashboards

The Service is intended solely for legitimate security awareness training purposes within your own organization.

3. Eligibility and Account Registration

To use SimShield, you must:

• Be at least 18 years of age
• Be a representative of a legitimate business or organization
• Provide accurate and complete registration information
• Maintain the security of your account credentials

You are responsible for all activity that occurs under your account. Notify us immediately at support@simshield.tech if you suspect any unauthorized access.

4. Subscription Plans and Billing

4.1 Plan Overview

SimShield offers the following plans:

• Free: Up to 10 users, limited campaign and email quotas — no payment required
• Starter: $2/user/month — expanded quotas, custom templates, advanced analytics
• Professional: $4/user/month — full feature access, priority support, advanced reporting

4.2 Payment

Paid plans are invoiced manually. Upon selecting a paid plan, you will be contacted by SimShield to complete payment via bank transfer or Khalti. Your subscription is activated upon confirmation of payment receipt.

Seats are billed based on the number of users you have designated at the time of subscription. Mid-cycle seat additions are handled at the next renewal period.

4.3 Renewals

Subscriptions renew monthly unless cancelled. You will be notified prior to each renewal. Failure to complete payment by the renewal date may result in downgrade to the Free plan.

5. Acceptable Use Policy

SimShield may only be used for lawful security awareness training within your own organization. You agree that you will NOT:

• Use the Service to send phishing simulations to individuals outside your own organization without their organization's explicit consent
• Use the Service for actual phishing attacks, fraud, or any malicious purpose
• Impersonate third-party brands or individuals in a way that constitutes deception outside of a controlled training context
• Attempt to gain unauthorized access to SimShield's systems or other users' data
• Reverse engineer, scrape, or attempt to extract SimShield's source code or data
• Resell, sublicense, or redistribute the Service without written permission
• Use the Service to violate any applicable law or regulation

6. Employee Data and Consent

As an organization administrator using SimShield, you are responsible for:

• Obtaining any legally required consent from employees before running phishing simulations, as required by the laws of your jurisdiction
• Ensuring your use of employee behavioral data complies with applicable labor laws and privacy regulations
• Maintaining appropriate internal policies around security awareness training

7. Intellectual Property

All content, code, designs, templates, and materials within SimShield are the intellectual property of SimShield. You are granted a limited, non-exclusive, non-transferable license to use the Service during your active subscription period.

AI-generated phishing email templates created using the Service are licensed to you for use within SimShield campaigns only. You may not export or repurpose them outside the platform without written consent.

8. Data Security

We implement industry-standard security practices to protect your data, including encrypted data transmission (TLS), hashed credentials, role-based access controls, and isolated multi-tenant data storage. However, no system is 100% secure. You acknowledge that you use the Service at your own risk.

9. Limitation of Liability

To the maximum extent permitted by applicable law, SimShield shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of your use or inability to use the Service.

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid for the Service in the three (3) months preceding the claim.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

SimShield does not guarantee that phishing simulations will improve security outcomes. Results depend on how the platform is used within your organization.

11. Termination

Either party may terminate the subscription at any time. Upon termination:

• Your account will be downgraded to the Free plan or deactivated
• Existing campaign data is preserved for 90 days before deletion
• Actively running campaigns will complete their current cycle and will not be interrupted
• New resource creation (campaigns, users, templates) will be blocked if you exceed Free plan limits

We reserve the right to suspend or terminate accounts that violate these Terms immediately and without notice.

12. Governing Law

These Terms are governed by the laws of Nepal. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Nepal.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
